7. Disclaimers

7.1 Service Availability

The Website and all Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by applicable law.

  • Any loss of profits, revenue, data, or business opportunities.
  • Any damages arising from your use of or inability to use the Website or any Services.
  • Any damages arising from any content, goods, or services obtained through the Website or any third-party links.

Where liability cannot be fully excluded under applicable law, our total aggregate liability to you for all claims arising from or related to the Website shall not exceed one hundred Canadian dollars (CAD $100.00) or the amount you paid to us (if any) in the twelve (12) months preceding the claim, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be lawfully excluded or limited, including liability for fraud, gross negligence resulting in personal injury, or any other liability that applicable law does not permit to be excluded.

9. Indemnification

You agree to indemnify, defend, and hold harmless CoreEngineX and its founders, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

11.1 Website Changes

We reserve the right to modify, suspend, or discontinue the Website or any part of it at any time, with or without notice, and without liability to you.

11.2 Terms Changes

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice through the Website or by other means. Your continued use of the Website after such changes take effect constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you should stop using the Website.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Before initiating any formal legal proceeding, you agree to first contact us at legal@coreenginex.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any dispute within thirty (30) days of receiving your notice.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

15. Waiver

The failure of CoreEngineX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by CoreEngineX.

16. Entire Agreement

These Terms, together with our Privacy Policy and any product-specific terms of service, constitute the entire agreement between you and CoreEngineX regarding the Website and supersede any prior agreements, communications, or understandings, whether written or oral.
